ABB buys GEIS

ABB completes acquisition of GE Industrial Solutions

Press release | Zurich, Switzerland | 2018-07-02

Strengthens ABB's #2 global position in electrification

Expands access to attractive North American market

Operational EPS1 accretive in year one

Expected annual cost synergies of approximately $200 million in year five confirmed

ABB announced it has completed its acquisition of GE Industrial Solutions (GEIS), GE's global electrification solutions business on June 30, 2018. The transaction was announced on September 25, 2017, and is expected to be accretive to operational EPS in the first year.

The $2.6 billion transaction offers substantial value creation potential within ABB, including growth opportunities to be leveraged from coupling ABB's digital offering, ABB Ability, with the extensive GEIS installed base. ABB expects to realize approximately $200 million of annual cost synergies in year five, which will be key in bringing GEIS to peer performance.

"We are very pleased to welcome GE Industrial Solutions to ABB," said ABB CEO Ulrich Spiesshofer. "The combination reinforces ABB's position as a worldwide leader in electrification and accelerates our growth and competitiveness in key markets, particularly North America. As one of Thomas Edison's original businesses, GEIS is the cradle of electrification a legacy that we will preserve and build on, now that GEIS is part of ABB."

GEIS will be integrated into ABB's Electrification Products (EP) division, led by EP President Tarak Mehta, as a new business unit called Electrification Products Industrial Solutions (EPIS). Stephanie Mains, who was previously the President and CEO of the GE Industrial Solutions business, will lead the new business unit as Managing Director. As part of the transaction, ABB has established a long-term strategic supply relationship with GE to supply them with products and solutions from across the ABB portfolio. Included in the acquisition is a long-term right to use the GE brand.

"The product portfolios of GE Industrial Solutions and ABB are highly complementary. Together we will have a comprehensive combined portfolio, as well as an expanded global footprint, sales force and distribution network," said Tarak Mehta. "We are committed to servicing the GEIS installed base and will now be able to provide a more technologically advanced and digitally connected offering to our customers around the world. Together we will strengthen ABB's #2 position in electrification globally and expand our access to the attractive North American market."

ABB (ABBN: SIX Swiss Ex) is a pioneering technology leader in electrification products, robotics and motion, industrial automation and power grids, serving customers in utilities, industry and transport & infrastructure globally. Continuing a history of innovation spanning more than 130 years, ABB today is writing the future of industrial digitalization with two clear value propositions: bringing electricity from any power plant to any plug and automating industries from natural resources to finished products. As title partner of Formula E, the fully electric international FIA motorsport class, ABB is pushing the boundaries of e-mobility to contribute to a sustainable future. ABB operates in more than 100 countries with about 135,000 employees. www.abb.com

ABB introduces TruONE ATS

ABB launches TruONE, the world's first true all-in-one ATS for critical power

Press release | Las Vegas, Nevada | 2017-12-07

The ABB TruONETM automatic transfer switch has built-in sensors, controllers and connectivity

ABB launches today TruONE, an all-new automatic transfer switch (ATS) with connectivity and monitoring functions for critical power applications. TruONE is the world's first true ATS to package all the necessary sensors and controllers into a single easy-to-install device that helps improve protection and makes installation 80 percent faster.

Critical power applications use an ATS to sense when power is lost and to switch automatically to the backup generator. The ATS is usually a complex installation with various sensors, controllers, switches and operator interfaces all wired together. Putting everything into a single package, including an integrated controller with detachable Human Machine Interface (HMI), the TruONE makes ATS installations faster, simpler and more reliable.

With seven communications protocols, the TruONE ATS is part of the ABB AbilityTM portfolio of software-enabled and connected solutions that help customers to be more productive, with features including predictive maintenance and condition monitoring.

Wellington Rodrigues, Product Marketing Manager for ABB's Protection and Connection business in the United States, said: "ABB has produced the solution everybody who works with ATS devices has been waiting for. The all-new TruONE ATS is the first to integrate everything that critical power applications need into one seamless unit. Designed and tested to exceed industry requirements, the TruONE ATS ensures the reliable delivery of critical power."

The TruONE ATS is simple to install, requiring only a single wire and standard enclosures. Ergonomic studies indicate this will make installation up to 80 percent faster and will cut cabling and commissioning times and costs by up to 90 percent.

The TruONE's all-in-one design is factory-assembled and fully tested to ABB's exacting quality standards. Protection during manual operation is increased, even under load, with the elevated handle mounted to the ATS frame so there is no need to open the panel door. TruONE is also setting the new industry standard as dangerous line voltage no longer need to be connected to the door as the detachable HMI is completely isolated from the lines. TruONE is the first ATS with a built-in predictive maintenance functionality that monitors its own condition as well as its environment with temperature monitoring. This ensures that when operations need to switch to backup power, ABB's ATS is always ready to perform.

The innovative device shares the same user interface and software environment as the ABB Emax 2 smart air circuit breaker. Its seven communication protocols provide maximum connectivity and together with the ability for cloud-based services via the ABB AbilityTM Electrical Distribution Control System, TruONE, together with other ABB devices, is making remote plant management simple. "Innovations like this are why ABB is the most trusted name in the industry," said Dave Sterlace, ABB's Global Head of Data Center Technology. "The all-new

TruONE makes critical power a whole lot simpler with less wiring and more intelligence. Hospitals, data centers and telecommunications installations will be among the first to benefit from this technology."

The brand new device features a host of design and engineering advances, including an ingenious contact construction that uses new materials and geometries to make load transferring more reliable and to meet the demanding test requirements of both IEC and UL.
